This department deals with non-contentious corporate law and commercial work - matters which do not involve court
proceedings. Our clients are businesses of all sizes: large and medium-sized publicly-quoted companies, privately-owned businesses, statutory organisations and professional and creative partnerships.
The greater part of our work relates to the sale and acquisition of businesses, including management buy-outs. We also advise on the general commercial agreements which are central to running a business - standard terms and
conditions of sale, franchise agreements and agency and distribution agreements - and other areas including:
| :: |
the sale and purchase of shares in private companies and business assets
|
| :: |
partnership agreements
|
| :: |
share options and share schemes
|
| :: |
shareholder agreements and joint venture agreements
|
| :: |
competition law

E-Commerce
The team has advised and represented many e-commerce firms on the legal aspects of running an online business.
These include drafting website design, hosting and software licensing agreements, and negotiating and drafting
other commercial contracts and share options particular to e-commerce.
Licensing
The new Licensing Act has had a significant impact on some businesses. We have advised many restaurants, bars, clubs and venues in relation to the new act. Click here for more information about the Licensing Act 2003 and its implications.
