Russell-Cooke acted for a consortium of private investors in the purchase of a specialist automotive engineering business as part of the development of an automotive division by the investor group.

The transaction was structured as a management buy in/buy out. The parties were known to one another prior to the deal and that enabled an open book approach to both the transactional negotiations and the shareholder arrangements going forward.

This was a good example of the increasingly collegiate approach to corporate transactions on the part of many buyers and sellers, which has been reflected in the growth and development of the business in the period following completion.
