Russell-Cooke's corporate and commercial team recently advised Workshop Coffee Ventures Ltd, led by the founder of the Workshop Coffee group, James Dickson, on the purchase of Workshop Trading Holdings Limited from Barkby Group PLC (Barkby) by way of a management buyout.

Workshop Coffee is a fast-growing coffee sourcing, roasting and brewing company with an aim to produce world-class coffee. James will continue to develop the business and plans to continue its growth with new investment.

James is also a significant shareholder in Barkby and the MBO therefore constituted a related party transaction requiring additional considerations for the public company.

It was ultimately determined by Barkby that the terms of the transaction were fair and reasonable and that the MBO option offered the best value.

The Russell-Cooke team was led by partner Guy Wilmot, assisted by senior associate Sally Johnston and associate Olivia Bailhe. The seller was advised by Napthens LLP.
