We acted on the sale of 50% stake of a land promotion company to a landed family estate. This transaction was exceptional in that the value of the company was almost entirely speculative, based on land options which the company was promoting for planning.

The absence of conventional trading activity rendered the usual legal enquiry and due diligence process largely redundant but the contractual arrangements which gave the company its value had to be subjected to a word by word forensic examination.

Once again liaison between property and corporate teams and the translation of property norms into a corporate context was key to the smooth running of the deal.
