Andrew has extensive experience of the charity and not for profit sector and supports trustees and executive teams to deliver the organisation’s purposes in a proportionate and pragmatic manner.

Andrew advises charities, social enterprises, trade associations and other membership and not-for-profit organisations on a wide range of charity and company law issues and commercial matters. He helps guide charity boards through challenging situations and renewal.

He provides advice on constitutional and governance matters, commercial contracts, restructuring, mergers and incorporations, funding issues, joint ventures and collaborative working arrangements.

  • Advised a charity board on a major dispute with former trustees in particular advising on the construction of its governing document, defending spurious allegations made by the well-resourced former trustees, helping resolve the dispute by adopting a new governing document and managing communications with members and the Charity Commission

  • Advised a community interest company, established by two local councils to manage a park, on its merger with a charity established for similar purposes including revising both organisation’s governance structures

  • Advised the interim mangers of a charity where trustees had failed to appropriately manage conflicts of interest

  • Advised a number of professional bodies on their relationships with related charities in particular the management of conflicts of interest and use of shared resources

  • Advised Impetus on its bid to manage the £200 million Youth Endowment Fund and on its negotiations with the Home Office. The project involved setting up a new charitable trust to hold and administer the grant and related governance arrangements, structuring and documenting its partnership with partners and operational agreements such as grant distribution and evaluation agreements

  • Advised Unicef UK on its Soccer Aid campaign and its participation in a joint venture vehicle established to deliver the campaign. The project involved advising on the JV’s financing and its contractual arrangements with various third parties including its agreement with broadcaster ITV and various trademark licensing arrangements

  • Advised an insolvency act administrator in the context of its appointment as administrator of a corporate trustee of an insolvent unincorporated care charity, including the disposal of a care home and the transfer of the remaining charitable funds to a new corporate trustee via Charity Commission scheme

  • Advised a number of corporate foundations (charities established by a related commercial organisation) on their establishment and on related governance matters especially in the context of revised guidance from the Charity Commission

  • Advised on numerous sector mergers in particular Breast Cancer Now and Breast Cancer Care, Action for Blind People on its merger with RNIB and Arthritis Care on its merger with Arthritis Research UK

  • Advised a major charity’s trustee board on their duties in relation to the potential insolvency of the charity, its subsequent administration and the transfer of much of its business to anther charity by way of a “pre-pack” sale saving over 90% of the Charity’s services
