Russell-Cooke advises Certitude Support on business and asset purchase following Vibrance administration
Russell-Cooke’s charity and not-for-profit and insolvency practices advised Certitude Support on its acquisition of certain social care services operated by social care charity Vibrance, after Vibrance was placed into administration.
Certitude Support provides support to people with learning disabilities, autistic people, and people with mental health support needs.
Certitude Support implemented the transaction with Vibrance’s administrators through a separate group company. The transaction resulted in the transfer of more than 400 staff and the continuation of Vibrance’s vital social care services.
Russell-Cooke advised on all aspects of the transaction including the governance and commercial aspects, employment law and TUPE advice, and on the property and insolvency aspects of the transaction.
